he paper introduces the basic concept of software risk management firstly, and then discusses the three important process factors: risk identification, risk analysis and risk response. The big risks which base on the Boehm’s theory will be brought in each phase of software development process are investigated. In the end, it provides some effective measures to deal with the mainly risks. The software project risk management is a very important part of software project management. The effective risk management is a necessary method that cans reduce the losses in software development process. Research on software risk management is significant to software development and risk project management and the quality of software products.
