高管团队特征与企业连续并购行为研究--基于中国制造业上市公司的数据

MT Characteristics and Corporate Serial M&As: Evidence from Chinese Manufacturing Listed Companies

本文通过梳理相关文献,将3年内发起超过2次并购活动的行为视作企业连续并购。在融合管理防御理论、高阶理论与代理成本理论的基础上,选取年龄、性别、任期与教育背景作为高管团队特征变量,试图分析其与企业并购频率之间的关系。随后,以2012-2014年有连续并购行为的231家中国制造业上市公司为样本,运用有序变量逻辑回归模型进行实证检验。研究发现:(1)高管团队的平均年龄越大、女性占比越高,越不可能做出连续并购决策。(2)高管团队的平均受教育水平越高,做出连续并购决策的可能性会随之增大。(3)高管团队平均任期与企业连续并购决策之间不存在显著相关性。

Based on the summary and review of relevant literature, the paper clearly defined the standard of serial M&As as enterprises' acquisition frequency should be more than twice within three years. The author attempts to analyze the relationship among TMT characteristics and M&As frequency on the basis of Managerial Entrenchment Theory, Upper Echelons Theory and Agency Cost Theory. The paper selects age, gender, tenure and educational background as TMT characteristics variables. Afterwards, the author chooses 231 samples of Chinese manufacturing listed companies which had serial M&As occurred among 2012 and 2014. Finally, the study utilizes the Ordered Logistic Regression Model to make the empirical test. The empirical results show that (1) as the increase of TMT's average age and female ratio, the possibility of making serial M&As decision will be decreased. (2) as the increase of TMT's average educational level, the possibility of making serial M&As decision will be increased as well. (3) there is no significant relationship between TMT's average tenure and serial M&As decision.
