Under the background of cooperation R&D in industry-university-research alliance, the paper discusses R&D project selection problem of alliance members in different governance structures. Cooperation R&D achievements are influenced by alliance governance structures, R&D project type and incomplete infor-mation, while divergence in research goals may creates conflicts between partners. Research suggests that cooperation R&D project fall away from the ideal situation (complete information) when the unknown inputs are more important on R&D achievements, or project divergences do harm to partners; And the total expected return in decentralized structure are smaller than centralized structure.
