我国上市公司大股东掏空行为及其原因探析
Research on tunneling and its causes of controlling shareholders of the listed companies
公司治理文献长期关注的是经理人与股东之间的代理问题，但本文认为，控股股东和中小股东之间的利益冲突、控股股东对上市公司和中小股东的疯狂掠夺——掏空行为是我国上市公司的症结所在。本文首先阐述了掏空行为的主要表现方式，并且分析了掏空行为产生的根源，提出我国资本市场要发展必须要治理大股东这种肆无忌惮的掏空行为。
he literature of corporate governance’s long-term attention is the agency problems between the managers and the shareholders, but we think that the key problem of our listed companies is the conflict of interests between the controlling shareholders and the minority problem —tunneling. Firstly, this paper discusses the main way of tunneling of controlling shareholders, then analyzes the causes of tunneling, we must restrict tunneling of the controlling shareholders in order to develop our capital market.
